Indemnity Clause
Indemnity Clause for Association of Related Ministries International (ARMI) and Andrew Wommack Ministries Inc. (AWMI)
The ARMI Member shall indemnify and hold harmless, to the fullest extent allowed by law, ARMI and AWMI, its agents, employees and representatives from all claims, demands, suits, actions, payments, liability, judgments and expenses (including court-ordered attorney’s fees), arising out of or resulting from any intentional or negligent acts that result in bodily injury, mental suffering, damages from sexual acts with a person not a member’s spouse, sickness, disease, death, civil rights liability, or damage to or destruction of tangible property, including the loss of use resulting therefrom, that are caused in whole or in part by the Member, or any employees, contractors, agents or representatives.
Disclaimer of Liability and Damages
THE ASSOCIATION OF RELATED MINISTRIES INTERNATIONAL (ARMI) AND ANDREW WOMMACK MINISTRIES INC. (AWMI) AND THEIR AUTHORIZED AGENTS AND CONTRACTORS SHALL NOT IN ANY EVENT BE LIABLE FOR ANY DAMAGES, INCLUDING DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH MEMBERSHIP IN ARMI, OR THE USE OR MISUSE OF ANY INFORMATION, DOCUMENTS, SERVICES, SOFTWARE, OR OTHER MATERIAL OBTAINED THROUGH ARMI OR A RELATED WEBSITE, OR OTHERWISE ARISING OUT OF THE EXERCISE OF MEMBERSHIP PRIVILEGES OF ARMI, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE.
Member acknowledges that no joint venture, partnership, employment or agency relationship exists between the Member and ARMI and AWMI or their authorized agents or contractors as a result of this ARMI membership. This is a voluntary association. Member is allowed to hold himself/herself out as a member of ARMI, a Non-profit Association of Christian Ministers. Member agrees not to hold himself or herself out as a representative, agent, or employee of ARMI or AWMI.
ARMI or AWMI and its authorized agents shall not be liable for any representation, act or omission of the Member. Neither ARMI nor AWMI is responsible for any personal legal matters of Members.
Member agrees to (as available) exchange electronic mail with ARMI and ARMI is not responsible for any damages arising from the use of electronic mail. ARMI specifically disclaims any damage to Member arising from unauthorized access by third parties to ARMI or AWMI email servers.
Jurisdiction
This Agreement is governed by the laws of the State of Colorado, U.S.A. Member consents exclusive jurisdiction and venue of courts in Colorado, U.S.A., in all disputes arising out of or relating to membership in ARMI.
Severability
If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitation set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect.
By agreeing to join Associated Related Ministries (ARMI), the Member assumes all risks associated with membership. Any rights not expressly granted herein are reserved. If you join ARMI, you agree with these terms and conditions. ARMI reserves the right to amend the requirements of membership.
